Account registration

Certain Belvoraine services require you to create an account.

You agree to provide information that is accurate, complete and up to date and to keep that information current.

You are responsible for:

• maintaining the confidentiality of your login credentials;
• using appropriate security measures;
• keeping your contact information current;
• reviewing account activity and security notifications; and
• notifying us promptly if you believe your account has been compromised.

You must not allow another person to use your account unless expressly permitted by Belvoraine.

You remain responsible for activity carried out through your account, except where applicable law provides otherwise.

Identity verification and KYC

To comply with applicable legal and regulatory requirements, we may require you to complete identity verification and provide information about yourself, your source of funds or other relevant information.

The information requested may include identification documents, residential information, employment or occupation information and other information reasonably required for compliance purposes.

You authorize us to conduct verification checks and to use appropriate third-party service providers where necessary to complete these checks.

If you do not provide information required for verification, we may be unable to provide or continue providing certain services.

Not all products or features are available to all users or in all jurisdictions.

Automated strategies

Automated strategies use predefined rules, settings and technical systems to monitor selected market conditions and, where applicable, initiate or manage transactions.

You are responsible for reviewing the strategy settings before activation and for ensuring that the selected configuration is appropriate for your circumstances and risk tolerance.

Automated strategies:

• do not guarantee a profit;
• do not guarantee a particular return;
• do not eliminate market risk;
• may generate losses;
• may operate during rapidly changing market conditions; and
• may produce results different from those you expected.

A strategy may continue to follow its programmed rules even when market conditions change significantly.

Market information and analytics

Belvoraine may provide market prices, charts, indicators, performance information and other analytical content.

Market information may be delayed, incomplete or affected by technical or data-source limitations.

Nothing on the Belvoraine platform should be interpreted as:

• personalized investment advice;
• a recommendation to buy, sell or hold a crypto asset;
• a guarantee of future performance; or
• a representation that a particular strategy or transaction is suitable for you.

You are responsible for your own investment and trading decisions.

Crypto-asset risks

Crypto assets are volatile and high-risk investments. Their value can change significantly over short periods, and you may lose some or all of the amount invested.

Depending on the product and asset, risks may include:

• market volatility;
• liquidity risk;
• technology and cybersecurity risk;
• transaction and execution risk;
• custody risk;
• regulatory risk;
• operational risk;
• fraud and unauthorized access; and
• the possibility of a total loss.

No guarantee of performance

Belvoraine does not guarantee that any strategy, transaction, asset or product will generate a profit.

Past performance is not an indication of future results.

Any examples, calculations, charts, simulations or historical performance information shown on the platform are provided for illustrative or informational purposes unless expressly stated otherwise.

Fees and charges

Applicable fees will be disclosed before you confirm a transaction or activate a paid service, where reasonably practicable.

Fees may include:

• trading fees;
• withdrawal fees;
• network or blockchain fees;
• service or platform fees; and
• other charges applicable to a particular product.

You are responsible for reviewing the applicable fee information before confirming a transaction.

Third-party fees, including blockchain network fees, may apply independently of Belvoraine fees.

Deposits and withdrawals

Where deposits or withdrawals are available, they are subject to the applicable product terms, security procedures and verification requirements.

We may delay, reject or restrict a withdrawal where reasonably necessary to:

• protect your account;
• investigate suspicious activity;
• complete identity or compliance checks;
• comply with applicable law;
• comply with a legal or regulatory request; or
• address technical or blockchain-related issues.

Blockchain transactions are generally irreversible once confirmed.

You are responsible for confirming the accuracy of the destination wallet address before submitting a withdrawal.

Belvoraine is not responsible for losses resulting from an incorrect wallet address supplied by you, except where applicable law provides otherwise.

Account security

You are responsible for taking reasonable steps to protect your account.

We recommend using:

• a unique password;
• multi-factor authentication;
• trusted devices;
• up-to-date operating systems and browsers; and
• appropriate security practices.

You must notify us promptly if you suspect unauthorized access or other security concerns.

Belvoraine will never ask you to provide your private key or seed phrase.

API access

Where API access is available, you are responsible for reviewing and managing the permissions assigned to each API key.

Depending on the available configuration, permissions may include:

• read access;
• trading access; and
• withdrawal access.

You should grant only the permissions necessary for the intended use of the API key.

You are responsible for keeping API credentials confidential and for disabling credentials that are no longer required.

Acceptable use

You must not use Belvoraine to:

• engage in unlawful activity;
• commit or facilitate fraud;
• manipulate markets;
• interfere with the operation of the platform;
• attempt to gain unauthorized access;
• introduce malicious software;
• use another person's account without authorization;
• provide false or misleading information;
• circumvent applicable restrictions or controls; or
• use the platform in a manner that violates applicable law.

We may suspend or restrict access where we reasonably believe these Terms or applicable law have been breached.

Intellectual property

The Belvoraine website, platform, software, content, branding, logos, graphics, text and other materials are owned by or licensed to Belvoraine and are protected by applicable intellectual property laws.

Except as expressly permitted, you may not copy, reproduce, modify, distribute, sell, license or otherwise exploit our content or technology without our prior written permission.

Your use of the platform does not transfer ownership of any intellectual property to you.

Third-party services

Belvoraine may rely on third-party providers for services such as:

• identity verification;
• payment processing;
• technology infrastructure;
• custody;
• market data;
• security;
• communications; and
• analytics.

Third-party services may be subject to their own terms and privacy policies.

We are not responsible for the acts or omissions of a third party except to the extent required by applicable law.

Suspension and termination

We may suspend or restrict your access to some or all Belvoraine services where reasonably necessary, including where:

• required by law or regulation;
• we identify a security concern;
• we need to complete verification;
• suspicious or fraudulent activity is identified;
• you breach these Terms;
• you provide inaccurate or misleading information; or
• the service is discontinued.

Where reasonably practicable, we will provide notice and information about the reason for the restriction.

Termination of your account does not affect rights or obligations that arose before termination.

Your use of Belvoraine is also governed by our Privacy Policy.

Disclaimers

To the extent permitted by applicable law, Belvoraine provides the website and services on an “as available” basis.

• the platform will be free from technical interruptions; or
• any particular investment or trading outcome will occur.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable Canadian law.

Limitation of liability

To the maximum extent permitted by applicable law, Belvoraine will not be liable for indirect, incidental, special, consequential or punitive losses arising from your use of the platform, including losses resulting from market movements, lost opportunities, technology interruptions or third-party services.

Nothing in these Terms limits liability where doing so would be prohibited by applicable law.

Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold Belvoraine and its directors, officers, employees and service providers harmless from claims, losses, liabilities and reasonable expenses arising from:

• your breach of these Terms;
• your unlawful use of the services;
• your violation of another person's rights; or
• your misuse of the platform.

This section does not apply to the extent that the relevant loss was caused by Belvoraine's own negligence, wilful misconduct or other conduct for which liability cannot lawfully be excluded.

Changes to these Terms

We may update these Terms from time to time to reflect changes to our services, legal requirements or business practices.

When changes are material, we will provide notice in a manner appropriate to the circumstances.

Your continued use of the services after the effective date of updated Terms constitutes acceptance of the changes, to the extent permitted by applicable law.
